The property was acquired through legal proceedings (bankruptcy or mortgage foreclosure) by the seller, who has not yet taken possession. The property is being transferred without the seller having any knowledge of its current state of repair, occupancy status, tenancy, services, or utilities. The property will be transferred: (i) as a specific unit and for a lump sum; (ii) as a whole, inseparable; (iii) in its current registered and cadastral state; (iv) in its current physical condition, quality, legal status, urban planning status, administrative status, licensing status, protection status, conservation, and cleanliness; (v) with all expenses and taxes legally owed by the seller paid up to date; and (vi) without utilities or services. The Purchaser shall assume: (i) the physical condition and state of repair; (ii) the urban planning status; (iii) any discrepancies between the physical reality and the registered and cadastral records or in the area of the Property; (iv) the registration and cadastral adjustments of the Property; and (v) the procedures involved in obtaining Judicial Possession of the Property. The Owner shall not be liable for: (i) the state of repair; (ii) any visible and apparent defects; (iii) the registration or cadastral regularization; (iv) any discrepancies in area that may exist; (v) any responsibility in obtaining the certificate of occupancy for the Property, unless its delivery is mandatory in the Autonomous Community where the Property is located; and (vi) any costs, expenses, fees, tariffs, or taxes arising from the foregoing. The occupancy status and/or any impediments preventing free access to the property by technicians would preclude: i) its official valuation as required by Order ECO/805/2003 of March 27, meaning that the property, while the occupancy status persists, cannot be mortgaged, and consequently, mortgage financing cannot be obtained for this type of property, whose acquisition will require other types of guarantees if financing is sought; and ii) the owner obtaining the energy efficiency certificate. The sale price of this property has been determined based on the aforementioned circumstances, which have resulted in a lower value, and which must be expressly accepted by the buyer upon formalizing the transfer of the property.
